Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Space Auto, Inc. ("Space Auto," "we," "us," or "our") governing your access to and use of our websites, software, dealership platform, and related services (collectively, the "Services"). By accessing or using the Services, creating an account, or clicking to accept these Terms, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

Space Auto provides a unified dealership technology platform that may include dealership websites, digital retailing tools, a customer relationship management (CRM) system, AI agents, messaging and communication tools, automation, integrations, and analytics. We may add, modify, or discontinue features at any time. Certain features may be subject to additional terms presented at the time of use.

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to keep it updated. Notify us immediately of any unauthorized use of your account.

Space Auto offers SMS and text messaging features that allow dealerships to communicate with their customers, and that allow Space Auto to communicate with users of the Services. By providing your mobile phone number and opting in, you consent to receive text messages as described below. These SMS terms are incorporated into and form part of these Terms of Service.

Space Auto provides tools and services through our platform to facilitate communication between dealerships and their customers. Compliance with all applicable communication laws and regulations, including consent and opt-out requirements, is the sole responsibility of the user. By using our platform, you acknowledge and agree to the following:

You agree not to misuse the Services. You will not, and will not permit others to:

• Use the Services to send unlawful, harassing, defamatory, fraudulent, or misleading communications;
• Send messages to any recipient who has not provided legally required consent, or who has opted out;
• Violate any applicable law, regulation, or third-party right, including intellectual property and privacy rights;
• Attempt to gain unauthorized access to the Services, other accounts, or our systems and networks;
• Introduce viruses, malware, or other harmful code, or interfere with the integrity or performance of the Services;
• Reverse engineer, scrape, or resell the Services except as expressly permitted.

You retain ownership of the data you and your customers submit through the Services ("Customer Data"). You grant Space Auto a limited license to use Customer Data solely to provide, maintain, and improve the Services and as otherwise described in our Privacy Policy. You are responsible for having all necessary rights and consents to provide Customer Data to us.

The Services, including all software, text, graphics, logos, and other content provided by Space Auto, are owned by Space Auto or its licensors and are protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Services except for the limited right to use them in accordance with these Terms. "Space Auto" and associated logos are trademarks of Space Auto, Inc.

The Services may integrate with or link to third-party products and services, including DMS, inventory, finance, marketing, and analytics providers. Your use of third-party services is governed by their own terms and privacy policies. Space Auto is not responsible for the availability, accuracy, or practices of any third-party service.

If you purchase paid Services, you agree to pay all applicable fees as described in your order or subscription agreement. Unless stated otherwise, fees are non-refundable, and you are responsible for any applicable taxes. We may suspend or terminate access for non-payment.

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Space Auto does not warrant that the Services will be uninterrupted, error-free, or secure, or that any message will be delivered.

To the maximum extent permitted by law, Space Auto and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill, arising from your use of the Services. In no event will Space Auto's aggregate liability exceed the amounts you paid to Space Auto for the Services in the twelve (12) months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Space Auto and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your Customer Data, your communications with recipients, or your violation of these Terms or applicable law.

You may stop using the Services at any time. We may suspend or terminate your access to the Services, with or without notice, if we believe you have violated these Terms, misused messaging or communication features, or created risk or legal exposure for Space Auto. Upon termination, your right to use the Services will cease, and provisions that by their nature should survive will remain in effect.

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas.

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
